NON-EXCLUSIVE USAGE RIGHTS

This is a legally binding agreement between you (hereinafter "Licensee") and $TUBA (hereinafter "Producer") regarding the usage rights of the musical composition (hereinafter "beat").

1. Grant of License
The Producer grants the Licensee a limited, non-exclusive, non-transferable right to use the beat for the purpose of creating and releasing new musical works (hereinafter "New Song"). This license is valid worldwide.
The Licensee acknowledges that the beat may contain third-party royalty-free samples (such as Splice), meaning other creators may have access to and use the same underlying sound elements.

2. Credit Required
The Licensee is required to provide clear producer credit in all releases containing the beat. The credit must be in the following format:
"prod. by $TUBA"

3. Copyright
All copyrights and ownership rights to the beat remain the sole property of the Producer ($TUBA). Downloading the beat does not transfer ownership to the Licensee.

4. Permitted Use & Social Media Monetization
The Licensee has the right to:
- Download the beat for personal use.
- Record and produce new musical compositions over the beat (by adding vocals or lyrics).
- Release and distribute these compositions ONLY on video and audio sharing platforms, specifically: YouTube, TikTok, Instagram, and SoundCloud.
- MONETIZE the content on the aforementioned social media platforms (e.g., via YouTube Partner Program ad revenue, TikTok Creator Awards/Fund, or SoundCloud Basic Monetization), provided that the Licensee complies fully with the restrictions in Section 6.

5. Prohibited Use
The Licensee may not:
- Claim sole ownership of the beat or register it as their own independent work with any copyright or collection societies.
- Sell or redistribute the beat as a standalone file.
- Upload the beat to any platform as their own work without creating new musical content (vocals/lyrics) over it.
- Grant, lease, or sell rights to any third parties.
- DISTRIBUTE the song to major digital streaming platforms (including but not limited to: Spotify, Apple Music, Tidal, Amazon Music) via any digital distributor (e.g., DistroKid, TuneCore) under this non-exclusive agreement.

6. Streaming Platforms and Content ID (Exclusive Upgrade Required)
The Licensee is fully permitted to earn ad revenue and monetize their videos directly through their own social media accounts (Section 4). However, registering the song with YouTube Content ID, Facebook Rights Manager, TikTok automated copyright systems, or any other similar digital fingerprinting and copyright administration systems is STRICTLY PROHIBITED.
Because this is a non-exclusive license and the beat may contain royalty-free samples used by others, registering this work to Content ID causes wrongful copyright claims against other artists and the Producer.
If the Licensee wishes to release the song on commercial streaming services (Spotify, Apple Music, etc.) or requires Content ID protection, they MUST upgrade to an Exclusive License. To negotiate exclusive rights, please contact the Producer: [email protected]

7. Termination of License
Should the Licensee violate any of these terms, this license shall be terminated immediately. Upon termination, all rights to use the beat shall cease, and the Producer reserves the right to request the immediate removal of the content from all platforms.
